What is a Share Capital Account?

A Share Capital Account is a dedicated Swiss bank account used to deposit and evidence the paid-in share capital required to incorporate a company in Switzerland. Funds deposited are confirmed to the notary and commercial registry as part of the incorporation process.
A capital payment account (known in Switzerland as a Kapitaleinzahlungskonto) is a highly specialised, temporary account intended for founders, entrepreneurs, and legal professionals who are in the process of incorporating a new company or increasing the capital of an existing one. Capital increase accounts are issued to our clients and can be requested via support@bivial.com.
A capital payment account (or Kapitaleinzahlungskonto in Switzerland) has one primary, legally mandated purpose: it holds the required startup money while a new company is being incorporated.
A minimum capital sum of CHF 20,000 is required to set up Swiss limited liability companies, also known as:
  • Gesellschaft mit beschränkter Haftung (GmbH) - German-speaking Region of Switzerland
  • Société à responsabilité limitée (Sàrl) - French-speaking Region of Switzerland
  • Società a Garanzia Limitata (Sagl) - Italian-speaking Region of Switzerland
  • Societad cun responsabladad limitada (Scrl) - Romansh-speaking Region of Switzerland
A minimum capital sum of CHF 100,000 is required to set up a public limited company (AG) in Switzerland. At least CHF 50,000 must be paid in at incorporation. These are also known as:
  • Aktiengesellschaft (AG) in the German-speaking Region of Switzerland
  • Société anonyme (SA) in the French-speaking Region of Switzerland
  • Società anonima (SA) in the Italian-speaking Region of Switzerland
  • Societad anonima (SA) in the Romansh-speaking Region of Switzerland
